George is Managing Director of The Boss Group which he founded after moving to Houston from Europe in 2004 to concentrate on
domestic business in the USA and is responsible for the oversight of all strategic and operations activities of the firm. Boss Group is a private investment, management and consulting firm
with interests in energy infrastructure, medical and miscellaneous commercial entities.
George has over thirty years of international experience in both law and business and was involved in over seventy counties while maintaining close involvement with U.S. companies.
He founded an international law firm in London and merged it into Houston based Vinson & Elkins, which was the commencement of its international practice. He then started an international
consulting firm representing numerous well-known major and small U.S. and non-U.S. clients in energy, food, banking and consumer products as well as other industries. He was involved in
most aspects of corporate activity, including mergers, acquisitions and divestitures. He also formed a private investment company that has concentrated over the last 25 years on
entrepreneurial and private investment activities mainly outside the U.S. where he has owned or has interests in various businesses, mainly within the EU.
Mr. Boss has dual citizenship, both USA and UK. He presently is a member of the National Advisory Council to the President of the University of Utah and serves on various private
company boards. |

Nils
Johansson |
|
Mr. Johansson is a Manager with The Boss Group and has a broad range of industry experience
from light manufacturing & assembly, service, publishing, software
to information & content distribution, both domestically and
internationally.
After a 20 plus year career at Bell Howell Company (B&H), Mr.
Johansson left B&H as their CEO and President after having taken
their mail and document processing businesses private, in a leveraged
transaction. Prior to this, he served as the Executive VP, CFO and
Director of a billion dollar publicly traded company for over 10
years. During this time he was responsible for taking the publicly
traded company private in an LBO with the Robert Bass Group in 1987,
successfully led a series of refinancing and took the Company back
public in 1995. During his tenure there, he was directly responsible
for well over 100 M&A transactions, involving both public and
private companies. Mr. Johansson was also the driving force behind
the strategic transformation of B&H thereby creating a significant
amount of shareholder value.
He currently serves on the Board of PERC, a wastewater treatment
engineering, construction and operations company and is an advisor
to Crestview Capital, a PIPE fund. |

Fred M. Tresca |
|
Fred is a Manager with The Boss Group and has extensive experience in energy
and the services sector, with an emphasis on corporate formation,
senior management and financial aspects of the international energy
business and related petroleum and services operations.
Prior to The Boss Group, Fred was a Founder and Managing
Director of a private investment and advisory company focused on
energy and infrastructure opportunities in Central Asia, with special
emphasis on Kazakhstan. Prior to his private investment and advisory
company, he was the Managing Partner of Price Waterhouse Kazakhstan.
Prior to Kazakhstan, he was a Certified Public Accountant with Price
Waterhouse in the United States. He has extensive experience doing
business startups, acquisitions, international taxation and structuring,
privatizations, joint ventures, mergers, and corporate finance. He is also a founder and Chairman of an energy exploration and production company, Banta Exploration Inc. |

Anne Orton Boss |
|
Prior to returning to the U.S. after over 25 years in the UK and Spain and becoming a member of the Boss Group,
Anne was involved in the managing and developing of private businesses in natural resources, food, media and retail. In most instances, she was an investor/owner.
She first started in London with Mesa Petroleum managing its office in London, scheduling of supplies, personnel and equipment. She then moved to ICDI Ind. working
in investor relations and administration and from there became an owner/manager of several private businesses including IBM distributorship, golf equipment, trading company, food and retail.
She is a native of Texas and is a graduate of the University of Texas. She is fluent in Spanish and French and has dual citizenship, U.S. and UK.
She serves on various Houston community organization boards and committees.

Lawrence L. Michaelis M.D. |
|
Dr. Michaelis is a Manager with The Boss Group and has extensive management and consulting experience in the healthcare industry.
Prior to joining The Boss Group, Dr. Michaelis was Chief of Cardiothoracic
Surgery and later Chief Medical Officer, Senior Vice President of
Medical Affairs, and Associate Dean of Northwestern Memorial Hospital
and Northwestern University Medical School in Chicago. He also was
President of Northwestern Healthcare Corporation, an 1100 member
PHO and Executive Vice President of Northwestern Medical Faculty
Foundation, a 400 physician-member faculty group practice. In these
roles he was responsible for the oversight of clinical care and
quality management, research, medical staff credentialing, and graduate
medical education and was intimately involved in strategic planning,
risk management, and the development of Industrial-Academic relations
for the Hospital and Medical School. He was the executive responsible
for the Clinical Research Center at Northwestern and had a leadership
role in the development of its Clinical Trials Office.
Dr. Michaelis earned an M.D. from Indiana University Medical School
and trained in General, Thoracic, and Cardiovascular Surgery at
the University of Virginia, where he was awarded a Master's Degree
in Surgical Physiology. Prior to arriving at Northwestern he served four years as Senior Surgeon at the National Heart and Lung Institute of the National
Institutes of Health. He has authored over 132 articles and has been a speaker/consultant/educator throughout the US and Internationally. He remains a tenured Professor of
Surgery at Northwestern. He currently is also: a principle of strategic consulting group; CMO of a physician web-based billing company; and serves as a senior trustee/consultant/advisor
to a number of private and public healthcare companies. He is presently Chairman and CEO of VIRxSYS Corporation, a biotechnology/gene therapy company in Maryland.

Scott Maguire |
|
Scott is a Member of United Renal LLC and also has acted as CEO and serves on the board of Xenetic Biosciences, a
development stage biotech company recently re-located to Boston, MA from London, UK. He has had and continues to have extensive experience in the management, development and ownership in
the dialysis area as well as healthcare generally both in the United States and internationally.
After starting his career at Merrill Lynch in Healthcare Investment Banking, Mr. Maguire got a MBA from Babson then worked as a Senior Manager for National Medical Care (NMC)- which at the time
was the world's largest Hemodialysis Provider until its acquisition by Fresenius. At NMC, he worked directly for Chris Ford, the current Founder and Chairman of American Renal Associates (ARA), the third
largest dialysis provider in the US, building the international division. He left NMC to become a Co-Founder and Director of Arthur Andersen's Healthcare Corporate Finance where he advised a number of
leading dialysis companies including Althin Medical on the sale to Baxter and Total Renal Care (now DaVita) on their European business development initiatives. In 2001, he became a founder member of London
based Healthcare Capital Partners, which then founded Renal Services, leading Independent provider of quality dialysis services to the NHS in the UK. He has been a member of The Boss Group since 2004.

Stefano Ciampolini, MBA |
|
Stefano Ciampolini co-founded HCP and has directed all of its projects. He started his professional career with his family's group of
companies, which included private clinics and diagnostic equipment manufacturing in Italy, France and the United States. He joined Arthur Andersen in London in 1996, where he was a member of
its healthcare corporate finance team. In 1999, he founded NephroNet, a chain of independent dialysis centres, which (after successful development) was sold to Baxter Inc. in 2001. From 2001 to 2003
Stefano was a Managing Director of Baxter Renal Therapy Services and since 2007 he has served as CEO of the Renal Services Group, a dialysis services company based in London.
As part of his investment activities Stefano is a shareholder and board member of several healthcare ventures and private equity funds. He is a member of the
advisory board at HealthEdge Investment Partners, a mid-size healthcare-focused US private equity fund.
Stefano earned an MBA from the Imperial College Management School in 1994 and holds a degree in economics from Kingston University, Surrey.

Prince K Zachariah M.D, PhD |
|
Prince K. Zachariah, MD, PhD. is a Fellow of the American College of Cardiology and a Fellow of the American Heart Association, and a specialist in Hypertension. He was a Professor of Medicine at the Mayo Clinic College of Medicine in Rochester, MN, and a consultant in both Cardiovascular Disease and Hypertension for the Department of Medicine at Mayo Clinic Rochester. Dr. Zachariah held the position of medical director for the Mayo Foundation Office of Information Technology for several years, and served Mayo Clinic Jacksonville as chair of the Department of Internal Medicine. He provided leadership in the implementation of EHR and CPOE at both Mayo Clinic Jacksonville and Mayo Clinic Scottsdale. Dr. Zachariah served on the Board of Governors of Mayo Clinic Jacksonville and Mayo Clinic Scottsdale. He currently holds the appointment as Clinical Professor in Health Administration, Center for Global and Medical Diplomacy, Brooks College of Health, University of North Florida and is also serving on the Board of Directors and Medical Advisory Boards of a number of companies. He was a Medical Director with the First Consulting Group and assisted the implementation of EHR and CPOE in academic institutions and small hospitals. Dr. Zachariah has vast experiences in developing and deploying clinical and technology strategies. |

William "Bill" A. Leone |
|
Bill is a former owner of a pipeline maintenance and construction company. He was President of the Pipeline Contractors Association (PLCA) in 2007 and a member of that board for several years thereafter. He has dealt with union and non-union associated issues and operations in most areas of the US and internationally. He has a wealth of knowledge and experience in the industry. He has been an investor and manager in several Group entities. Bill will continue his active role in management, operations and marketing in energy related entities the Group may acquire.

Bill Beavers |
|
Bill has experience working for several years with the Group as part of the operations and management team of a pipeline maintenance and construction company. He has held executive positions within several energy and manufacturing companies as well with marine terminal operations. He has been involved in budgeting, forecasting, safety, business development, and in general all aspects of management. He previously has worked for El Paso Energy, Duke Energy and J.R. Simplot. Presently, he is managing the development of a port facility in the Houston area. Bill graduated from Texas A & M and served as a paratrooper.

Henry L. Chang |
|
Mr. Chang is an Advisor
with The Boss Group and is a corporate finance professional with
extensive experience with strategy development, financings and mergers & acquisitions.
He is currently a Vice President of Strategy and Business Development for 3M Health Care, a $5 billion unit within 3M Company. Prior to 3M, he was a Managing Director with The Boss
Group. Prior to The Boss Group, he was a Vie President of investment banking with U.S. Bancorp Piper Jaffray. He was involved in a comprehensive range of activities, including public equity and convertible
offerings, private placements, leveraged buyouts, mergers, sale mandates and buy-side advisory services. Prior to joining U.S. Bancorp Piper Jaffray, he was a Management Consultant with the
Cambridge Group focused on developing growth strategies for Fortune 500 corporations. Prior to consulting, he worded in business development for MCI Communications and the NutraSweet Company
(formally a subsidiary of Monsanto).
Mr. Chang earned a Bachelor of Science in industrial engineering from Northwestern University and Master of Business Administration from J. L. Kellogg Graduate School of Management. |

Albert
R. Dowden |
|
Mr. Dowden is an advisor to The Boss Group. Prior to the Boss Group, Mr. Dowden
was President and Chief Executive officer of Volvo Group North America,
Inc. and Senior Vice President of its Swedish parent company, AB
Volvo. Prior to joining Volvo in 1974 as General Counsel to its
North American operations, he practiced law with the New York based
international law firm of Rogers & Wells (now Clifford Chance).
He serves as a Director of the INVGSCO Funds, a large family of mutual
funds, and Magellan Insurance, a Bermuda based Reinsurance Company.
He also serves as Chairman of the Cortland Trust, a New York based
money market fund, and on the Advisory Board of Rotary Power International,
a designer and manufacturer off rotary engines. He also acts as
a Director or Chairman of various New York based, and as well as
internationally focused charities. He previously served on the boards
of The Hertz Corporation, Genmar Corporation, National Media Corporation
(NYSE), Annuity & Life RE (NYSE) in additional to that of Volvo
Group North America, Inc. and a number of Volvo boards including
those of its North American operating companies.
He is currently active with a number of trade organizations such
as the national Association of Manufacturers (a Vice Chairman),
the American Scandinavian Foundation (Chairman), the Foreign Policy
Association and the European-American Business Council, among others,
covering international affairs, trade and trade relations, regulatory
and legislative advocacy. |

A. Duncan Gray |
|
Duncan, an international
lawyer, is an advisor with The Boss Group. He has an extensive
background in domestic and international corporate and natural resource
transactions. Presently, he is a legal consulatant to Clyde & Co., London, UK.
Prior to joining The Boss Group in January 2004, Duncan was a
partner in the law firm of King & Spalding specializing in natural
resources matters, with emphasis on the emerging markets of the
former Soviet Union, Eastern Europe, Southeast Asia and Latin America.
Duncan also was the founding partner of the Houston office of
the law firm of Mayer, Brown and Platt where he served as Partner-in-Charge
of the Houston office and Member of the Management Committee of
the firm.
Prior to becoming a partner at Mayer, Brown and Platt, he was a
Vice President with Pennzoil Company in Houston and a principal
in an oil & gas venture. He began his career with the law firm
of Baker and Botts in Houston.
Duncan received a Bachelor of Arts degree from Dartmouth College,
a Juris Doctor degree from the University of Michigan Law School
and the degree of Master of Laws (in Taxation) from New York University
School of Law. He is licensed to practice law in the States of Texas
and Colorado, USA. |

Dr. Dee Kotak MA (Oxon), MBBS, FRCA, MRCP, LLDip, LLM |
|
Dr. Kotak is an advisor of The Boss Group and brings a broad medical background and perspective as a specialist in
intensive care medicine, anaesthesia and trauma. Dr. Kotak has also practiced for four years as a civil lawyer. He has a particular interest in therapeutic vaccines for cancer and
chroni infectious diseases.

M. Anderson |
|
Bob is an Advisor
with The Boss Group and has extensive experience as a trial lawyer
involved in business, media, construction and real estate litigation.
He has been president of the law firm of Van Cott, Bagley, Cornwall &
McCarthy that has offices in Salt Lake City, Ogden and Park City,
Utah. Bob is past president of Utah Legal Services, Inc.
and the Salt Lake County Bar Association and has served on boards
of several charitable organizations in the community, including
The Children's Center and United Way. Bob was a board and executive
member of a large retail building supply company in the Rocky Mountain
area and is presently a member of the district advisory board of
Key Bank of Utah. He was Chairman of the Legal Affairs Committee
of the Associated General Contractors of Utah and a member of the
Courts and Judges Committee and former Chairman of the Banking and
Finance Law Section of the Utah State Bar. He is a member of the
Utah State Bar Litigation and Construction Law sections and a member
of the American Bar Association Construction Industry Forum and
Forum on Communications Law. He is an active member of the Rotary
Club of Salt Lake, the Alta Club and the Cottonwood Club.
Bob received an A.B. degree from Columbia University and
a law degree from the University of Utah College of Law where he
was a member of the Utah Law Review. |
